本サービスは、利用者が登録した情報および公開されているニュース等をもとに、AI による台本作成、AI 音声合成による AI キャラクターの音声生成、およびクラウドサーバー上での動画生成を行い、生成した動画を、利用者が認可した利用者自身の YouTube チャンネルへ、YouTube Data API を通じて毎日自動でアップロードするサービスです。
本サービスにより生成された動画(以下「生成動画」)は、利用者が本サービスの目的の範囲で自由に利用できるものとします。ただし、本サービスで使用する AI キャラクター、音声、テンプレート、BGM 等の素材に関する権利は当社または正当な権利者に帰属し、生成動画の一部としての利用を超えて、これらを抽出・単独利用することはできません。
生成動画に含まれる AI キャラクターおよび音声は AI により生成されたものであり、実在の人物を表すものではありません。利用者は、必要に応じて、動画が AI により生成されたものである旨を視聴者に表示するものとし、YouTube が求める改変・合成コンテンツの開示設定その他の表示義務を遵守するものとします。
These Terms of Service ("Terms") set out the conditions for using "HJ Broadcast" (the "Service") provided by Hills Japan Co., Ltd. ("we", "us", or "our"). By using the Service, the customer ("you" or "User") agrees to these Terms and to our Privacy Policy (https://www.hillsjapan.com/hj-broadcast/privacy).
If there is any discrepancy between the Japanese and English versions, the Japanese version shall prevail.
Article 1 (Scope)
These Terms apply to all relationships between us and you regarding the use of the Service.
Any individual rules, price lists, application forms, etc. that we publish for the Service ("Individual Rules") form part of these Terms. If they conflict with these Terms, the Individual Rules prevail.
If you are an organization such as a company or municipality, the person completing the sign-up has the authority to agree to these Terms on behalf of that organization.
Article 2 (The Service)
Based on information you register and on publicly available news, the Service uses AI to write scripts, uses AI text-to-speech to voice an AI character, renders videos on cloud servers, and automatically uploads the videos every day to your own YouTube channel that you have authorized, via the YouTube Data API.
To confirm the upload destination and check processing status, the Service may obtain basic information about your YouTube channel (channel name and channel ID) and the status of videos uploaded by the Service.
The Service does not provide live streaming.
Specific features follow the specifications we separately define.
Article 3 (Agreement to the YouTube Terms of Service)
The Service uses YouTube API Services. By using the Service, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).
You understand that the Google Privacy Policy (https://policies.google.com/privacy) applies to the handling of data through YouTube API Services.
You warrant that content uploaded through the Service complies with the YouTube Terms of Service and the YouTube Community Guidelines (https://www.youtube.com/howyoutubeworks/policies/community-guidelines/), and you will comply with these as well as YouTube's advertiser-friendly content policies and other YouTube rules.
We are not liable if all or part of the Service becomes unavailable because of changes to or discontinuation of YouTube's services, specifications, or APIs, or because of actions YouTube takes against your channel (such as removing videos or suspending the channel).
Article 4 (Account and YouTube Connection)
You apply to use the Service by the method we specify, and the contract is formed when we accept your application.
You will keep your registered information accurate and up to date.
You will connect to the Service only YouTube channels that you are authorized to manage.
Automatic uploads run only after you have explicitly enabled them in the dashboard and set the destination channel, delivery schedule, privacy status (public/unlisted/private), "made for kids" setting, and similar settings. You can stop automatic uploads or disconnect YouTube at any time.
You are responsible for managing your Service account credentials and must not let third parties use them.
Article 5 (Responsibility for Your Content and Channel)
You warrant that you have the right to lawfully use the announcement text, images, logos, and other information you provide to the Service ("Your Content"), and that Your Content does not infringe any third-party rights (including copyright, trademark, portrait/publicity rights, and privacy).
You are solely responsible for your YouTube channel, the videos published on it, and their privacy settings.
If a dispute with a third party arises from Your Content or your YouTube channel, you will resolve it at your own cost and responsibility and will compensate us for any resulting damage.
You retain the rights to Your Content. You grant us, free of charge, the right to use Your Content (including copying, editing, AI processing, and sending it to subprocessors) to the extent necessary to provide the Service.
You may freely use videos generated by the Service ("Generated Videos") for the purposes of the Service. However, rights to the AI characters, voices, templates, background music, and other assets used in the Service belong to us or the rightful owners, and you may not extract or use them separately outside of the Generated Videos.
The Service's voices use speech synthesis models provided under the Aivis Common Model License (ACML) 1.0 (https://github.com/Aivis-Project/ACML/blob/master/ACML-1.0.md). When using Generated Videos, you must comply with the prohibitions of that license, which include use:
(1) that misleads others into believing it comes from the original speaker, the original author, or an official party;
(2) that harms the image, dignity, decency, or social reputation of the speaker;
(3) in activities that criticize, attack, harass, defame, or discriminate against real people, organizations, products, or the like;
(4) in activities that publish or spread false information or content to deceive people;
(5) for marketing with false or exaggerated claims, or for ethically problematic businesses;
(6) in activities calling for support of, or opposition to, criticism of, or condemnation of, a particular political position, political organization, politician, religious organization, religious figure, exclusionary ideology, social force, or conspiracy theory (including rights campaigns, petition drives, demonstrations, and propaganda);
(7) for antisocial or criminal purposes.
The license is provided in Japanese only and is interpreted solely in Japanese; the list above is a summary for convenience.
We may decline to generate or upload videos from Your Content that may fall under the prohibitions in the preceding paragraph.
Article 6 (AI-Generated Content)
Scripts, voices, and visuals in Generated Videos are created automatically by AI and may contain inaccurate, outdated, unintended, or inappropriate content, or content affecting the rights or feelings of others.
We do not guarantee the accuracy, completeness, timeliness, usefulness, legality, or fitness for a particular purpose of Generated Videos.
AI characters and voices in Generated Videos are AI-generated and do not represent real people. Where appropriate, you will inform viewers that the video is AI-generated and will comply with YouTube's altered or synthetic content disclosure settings and any other labeling requirements.
For disaster, emergency, health, medical, or other information where errors could have serious consequences, you must not rely solely on the Service and must maintain official communication channels.
Where the Service offers a setting to review Generated Videos before upload (upload after approval), you should use it as appropriate. If you choose automatic publishing, you are responsible for the publication of Generated Videos.
Article 7 (Prohibited Uses)
You must not:
violate laws, public order and morals, the YouTube Terms of Service, or the YouTube API Services terms and policies;
infringe the copyright, trademark, portrait/publicity rights, privacy, reputation, or other rights or interests of others;
create or publish videos containing false or misleading information, impersonation, or disinformation about elections or public safety;
imitate the voice or appearance of a real person without their consent;
create or publish discriminatory, violent, obscene, harassing, or otherwise inappropriate videos;
use the Service for spam, artificial manipulation of views, or abuse of YouTube's systems;
connect a YouTube channel that you are not authorized to manage;
place excessive load on the Service or third-party servers or networks, gain unauthorized access, or reverse engineer the Service;
resell or sublicense the Service to third parties without our consent;
falsely configure the "made for kids" setting or other settings required by YouTube; or
engage in any other conduct that we reasonably determine to be inappropriate.
Article 8 (Fees and Billing)
Service fees, initial fees, plan details, and other pricing terms are as set out in the price list, application form, or quotation that we present on the Service or separately.
Payment methods are credit card payment via Stripe, invoice payment, or other methods we designate.
Payment timing and billing conditions are as set out in the price list, application form, or quotation for each plan.
If you are late in paying, we may suspend the Service. If we charge late-payment damages, the conditions will be set out separately.
Fees already paid are non-refundable except as required by law or where caused by reasons attributable to us. However, if individual contract terms provide otherwise, those terms prevail.
We will notify you in advance before changing service fees.
Article 9 (Term and Cancellation)
The term of the service agreement and its renewal conditions are as set out in the price list, application form, quotation, or other Individual Rules that we present.
You may request cancellation by the method we designate. The effective date of cancellation and other conditions are as set out in the Individual Rules.
The handling of data after cancellation or termination of the agreement is governed by our Privacy Policy.
Article 10 (Suspension and Termination)
We may suspend all or part of the Service or terminate the contract without prior notice if you:
breach these Terms;
are late in paying fees;
provided false registration information;
are the subject of a request from YouTube or Google to correct or stop your use;
are found to be, or to have ties with, an anti-social force (organized crime group, etc.); or
are otherwise reasonably determined by us to be unsuitable for continued provision of the Service.
We may temporarily suspend all or part of the Service after notifying you in advance (or afterwards in an emergency) for:
system maintenance, inspection, or updates; or
natural disasters, power outages, network failures, outages of external services such as cloud, AI, or YouTube services, or other unavoidable reasons.
We may discontinue the Service by giving at least 30 days' notice.
Article 11 (Disclaimer of Warranties)
We do not guarantee that the Service will fit your particular purpose, have the functions, accuracy, or usefulness you expect, be provided without interruption or defects, or always generate and upload a video at the scheduled time every day.
We do not guarantee any results on YouTube, such as views, subscribers, or monetization.
Article 12 (Limitation of Liability)
We are not liable for any damage you suffer in connection with the Service, except where caused by our willful misconduct or gross negligence.
Where we are liable (other than in the case described in the exception in the preceding paragraph), our liability is limited to ordinary and direct damage you actually suffer, up to the total fees you paid us during the 3 months before the month in which the damage occurred.
We are not liable for lost profits, indirect or special damages, loss of data, or damage resulting from actions taken against your YouTube channel (except where caused by our willful misconduct or gross negligence).
If any part of the preceding paragraphs is invalid under the Consumer Contract Act or other laws, it applies to the extent permitted by those laws.
Article 13 (Confidentiality)
We and you will not disclose or leak the other party's non-public information obtained in connection with the Service to third parties without prior consent, except disclosure to subprocessors as needed to provide the Service and disclosure required by law.
Article 14 (No Assignment)
You may not assign or pledge your position or rights and obligations under these Terms to a third party without our prior written consent.
Article 15 (Changes to These Terms)
We may change these Terms in accordance with Article 548-4 of the Civil Code of Japan.
We will announce the changed Terms and their effective date on the Service or by email at least 2 weeks before the effective date.
If you use the Service on or after the effective date, you are deemed to have agreed to the changed Terms.
Article 16 (Governing Law and Jurisdiction)
These Terms are governed by and interpreted under the laws of Japan.
The Gifu District Court shall have exclusive jurisdiction as the court of first instance for any dispute between us and you relating to the Service.
